Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Patel Import & Export ("Company," "we," "us," or "our"), including our website, trade consultation, freight, and logistics services.

By submitting an inquiry, placing an order, or otherwise engaging with Patel Import & Export, you ("Client" or "you") agree to be legally bound by these Terms.

Service Terms

2.1 Service Agreement

• Agreements must be confirmed in writing via contract, purchase order, or email confirmation
• Services will be provided as described in the agreed scope. Changes must be confirmed in writing by both parties
• Using our services means you accept all terms herein, including mode-specific conditions for sea, air, or land freight

2.2 Client Obligations

• Provide accurate, complete, and timely information including product details and HS codes
• Ensure all goods comply with applicable export and import regulations
• Provide all required documentation, certificates, and licenses in a timely manner
• Ensure products are not restricted, prohibited, or subject to international sanctions

2.3 Our Obligations

• Provide services with reasonable skill, care, and diligence
• Communicate promptly regarding shipment status and any issues
• Handle your goods and information with care and strict confidentiality
• Comply with applicable laws and industry standards

Payment Terms

3.1 Pricing & Quotations

• All prices are quoted in INR or USD as specified in the commercial invoice
• Quotations are valid for 7 days from the date of issue unless otherwise stated
• All applicable taxes, duties, and levies are additional unless explicitly stated as inclusive

3.2 Payment Methods & Terms

• Payments via bank transfer (NEFT/RTGS/SWIFT), Letter of Credit, or advance payment as agreed
• Standard terms: 50% advance on order confirmation; 50% before shipment
• All bank charges and transfer fees are the responsibility of the client

3.3 Late Payments

• Overdue payments incur interest at 2% per month or the maximum rate permitted by law
• We reserve the right to suspend services for accounts with outstanding overdue balances

Shipping Policy

4.1 Delivery Terms

• Estimated delivery dates are indicative and not guaranteed – subject to carrier schedules and port conditions
• Incoterms (FOB, CIF, EXW, DDP, etc.) will be specified in each commercial agreement

4.2 Packaging

• Clients are responsible for ensuring goods are properly packed for international transit
• Goods must comply with international packaging standards and destination requirements

4.3 Customs & Duties

• Import duties and taxes at the destination are the buyer's responsibility (unless DDP terms are agreed)
• We are not liable for delays caused by customs authorities
• Clients must ensure products comply with all import regulations of the destination country

Legal Compliance

• Clients must comply with all export control laws in India and applicable international regulations
• We do not facilitate trade involving sanctioned countries, entities, or individuals
• All products must comply with destination country standards, safety requirements, and labeling laws
• Clients are responsible for obtaining all required export licenses and permits
• We reserve the right to decline any shipment that may violate trade laws or pose reputational risk
• Anti-bribery and anti-corruption laws must be respected in all transactions

Liability

6.1 Limitation of Liability

Patel Import & Export's total liability for any claim arising from our services shall not exceed the value of the specific shipment or transaction giving rise to the claim.

• Not responsible for delays, damages, or losses caused by force majeure events
• Not liable for indirect, consequential, or punitive damages including loss of profits
• Not responsible for incorrect client information that results in customs delays or fines

6.2 Indemnification

You agree to indemnify Patel Import & Export from claims, losses, or expenses arising from breach of these Terms, inaccurate information, or violation of trade laws.

Intellectual Property

• All website content – logos, text, designs – is the exclusive property of Patel Import & Export
• You may not copy, reproduce, or distribute any content without prior written consent
• Our brand name and trademarks may not be used commercially without authorization

Dispute Resolution

Any dispute arising from these Terms shall follow this escalation process:

1. Negotiation: Good-faith negotiation within 30 days of written notice
2. Mediation: Referral to a mutually agreed mediator within 60 days if negotiation fails
3. Arbitration: Binding arbitration under the Indian Arbitration and Conciliation Act, 1996
4. Jurisdiction: Courts in Gandhinagar, Gujarat, India shall have exclusive jurisdiction

These Terms are governed by the laws of the Republic of India.

Termination

• By mutual written agreement of both parties
• By either party with 30 days written notice for ongoing service contracts
• Immediately by us if the client breaches these Terms, fails to pay, or engages in fraudulent activity

Upon termination, all outstanding payment obligations remain enforceable. We retain records as required by law for a minimum of 7 years.

Changes to Terms

We reserve the right to update these Terms at any time. We will notify clients of material changes by posting the revised Terms on our website and providing at least 14 days notice for significant changes to existing contracts.
